Themarketoffinancialdataprovisionthenisnowdominatedbytwocompanies,ThomsonReuterswitha(combined)marketshareof34%andBloombergL.P.withamarketshareof33%.
ThetransactionwasreviewedbytheU.S.DepartmentofJusticeandbytheEuropeanCommission.OnFebruary19,2008,boththeDepartmentofJusticeandtheCommissionclearedthetransactionsubjecttominordivestments.TheDepartmentofJusticerequiredthepartiestosellcopiesofthedatacontainedinthefollowingproducts:Thomson'sWorldScope,aglobalfundamentalsproduct;ReutersEstimates,anearningsestimatesproduct;andReutersAftermarket(Embargoed)ResearchDatabase,ananalystresearchdistributionproduct.Theproposedsettlementfurtherrequiresthelicensingofrelatedintellectualproperty,accesstopersonnel,andtransitionalsupporttoensurethatthebuyerofeachsetofdatacancontinuetoupdateitsdatabasesoastocontinuetoofferusersaviableandcompetitiveproduct.[5]TheEuropeanCommissionimposedsimilardivestments:accordingtotheCommission'spressrelease,"thepartiescommittedtodivestthedatabasescontainingthecontentsetsofsuchfinancialinformationproducts,togetherwithrelevantassets,personnelandcustomerbaseasappropriatetoallowpurchasersofthedatabasesandassetstoquicklyestablishthemselvesasacrediblecompetitiveforceinthemarketplaceincompetitionwiththemergedentity,re-establishingthepre-mergerrivalryintherespectivefields."
Theseremediesareviewedasveryminorgiventhescopeofthetransaction.AccordingtotheFinancialTimes,"theremedyproposedbythecompetitionauthoritieswillaffectnomorethan$25mofthenewThomsonReutersgroup’s$13bn-pluscombinedrevenues."

Mergerprocess
Historically,nosingleindividualhasbeenpermittedtoownmorethan15%ofReuters,underthefirstoftheReutersPrinciples,whichstatesthat"Reutersshallatnotimepassintothehandsofanyoneinterest,grouporfaction.".However,thatrestrictionwaswaivedforthepurchasebyThomson,whosefamilyholdingcompany,TheWoodbridgeCompany,willendupowning53%oftheenlargedbusiness.RobertPeston,businesseditoratBBCNews,statedthatthishasworriedReutersjournalists,bothbecausetheyareconcernedthatReuters'journalismbusinesswillbemarginalizedbythefinancialdataprovisionbusinessofthemergedcompany,andbecauseofthethreattoReuters'reputationforunbiasedjournalismbytheappearanceofonemajorityshareholder.PehrGyllenhammar,chairmanoftheReutersFoundersShareCompany,explainedthattheReutersTrust'sFirstPrinciplehadbeenwaivedfortheThomsonfamilybecauseofthepoorfinancialcircumstancesthatReutershadbeenin,statingthat"ThefutureofReuterstakesprecedenceovertheprinciples.IfReuterswerenotstrongenoughtocontinueonitsown,theprincipleswouldhavenomeaning.".Hestated,nothavingmetDavidThomsonbuthavingdiscussedthematterwithGeoffBeattiethepresidentofWoodbridge,thattheThomsonfamilyhadagreedtovoteasdirectedbytheReutersFoundersShareCompanyonanymatterthattheTrusteesdeemtothreatenthefiveprinciplesoftheReutersTrust.WoodbridgewillbeallowedanexemptionfromtheFirstPrincipleaslongasitremainscontrolledbytheThomsonfamily.
